Terms and Conditions

Last Updated: September 2026

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Oligoclase ("Company," "we," "us," or "our") governing your access to and use of the oligoclase.info software-as-a-service platform, including all associated applications, features, content, and services made available at oligoclase.info and any related Oligoclases, subOligoclases, or mobile applications (collectively, the "Service"). Please read these Terms carefully before using the Service. By accessing, browsing, registering for, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy and Cookie Policy, each of which is incorporated herein by reference. If you do not agree to these Terms in their entirety, you must immediately discontinue use of the Service.

1. Acceptance of Terms

By accessing or using the Service in any manner, including visiting the oligoclase.info website, creating an account, subscribing to a paid plan, or using any free trial, you expressly accept and agree to be bound by these Terms. This acceptance is effective as of the date you first access the Service and continues for so long as you use the Service or maintain an account with us.

If you are entering into these Terms on behalf of a company, partnership, limited liability company, or other legal entity, you represent and warrant that you have the full legal authority to bind that entity to these Terms, in which case "you" and "User" shall refer to that entity. If you lack such authority, you may not accept these Terms or use the Service on behalf of that entity.

You represent and warrant that you are at least eighteen (18) years of age and possess the legal capacity to enter into a binding contract. The Service is not intended for, and may not be used by, individuals under the age of eighteen (18). We reserve the right to request verification of eligibility at any time and to suspend or terminate accounts that fail to satisfy these requirements.

These Terms do not alter in any way the terms or conditions of any other written agreement you may have with Oligoclase, including any enterprise subscription agreement, master services agreement, or data processing addendum. In the event of a direct conflict between these Terms and a separately executed written agreement signed by both parties, the separately executed agreement shall control with respect to the subject matter of the conflict.

2. Use of Service

Subject to your continued compliance with these Terms, Oligoclase grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal business or personal purposes during the applicable subscription term. All rights not expressly granted herein are reserved by Oligoclase and its licensors.

You are responsible for obtaining and maintaining all equipment, software, internet connectivity, and other requirements necessary to access the Service, and for all costs associated therewith. We do not guarantee that the Service will be compatible with any particular device, browser, or third-party application, and we may modify, update, or discontinue features of the Service at any time without liability.

Certain features of the Service may be offered on a paid subscription basis. All fees, billing cycles, renewal terms, and payment obligations are as presented at the time of purchase. Unless otherwise stated, subscriptions renew automatically at the end of each billing period unless cancelled prior to the renewal date, and all fees are non-refundable except where required by applicable law. You authorize us and our payment processors to charge your designated payment method on a recurring basis.

You shall not, and shall not permit any third party to: (a) copy, modify, distribute, sell, lease, sublicense, or create derivative works of the Service; (b) reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service, except to the extent such restriction is prohibited by applicable law; (c) access the Service to build a competitive product or service; (d) use automated scripts, bots, crawlers, or scraping tools to extract data from the Service; (e) interfere with, disrupt, or attempt to gain unauthorized access to the Service, its servers, or related infrastructure; or (f) use the Service for any unlawful, fraudulent, or abusive purpose.

3. User Obligations

You agree to provide accurate, current, and complete information during registration and to promptly update such information to keep it accurate and complete. You are solely responsible for maintaining the confidentiality of your account credentials, and you agree not to share your login information with any third party. You accept full responsibility for all activities that occur under your account, whether or not authorized by you.

You agree to use the Service in compliance with all applicable federal, state, and local laws, statutes, regulations, and ordinances, including but not limited to laws governing data privacy, electronic communications, export control, and intellectual property. You shall not upload, transmit, or store any content that is unlawful, defamatory, obscene, harassing, infringing, or that contains malware or other harmful code.

Where you submit, upload, or process data through the Service, you represent and warrant that you have all necessary rights, consents, and legal bases to do so, and that such data does not violate the rights of any third party. You retain ownership of your data; however, you grant Oligoclase a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display your data solely as necessary to provide and improve the Service and to comply with legal obligations.

You are responsible for configuring the Service in a manner appropriate to your own legal and regulatory environment, including any obligations arising under applicable US state privacy laws, such as the California Consumer Privacy Act as amended by the California Privacy Rights Act (CCPA/CPRA), where applicable. We may provide tools to facilitate compliance, but such tools do not constitute legal advice and do not relieve you of your independent compliance obligations.

4. Intellectual Property Rights

The Service, including all software, source code, object code, architecture, user interfaces, designs, text, graphics, logos, trademarks, service marks, and documentation, is and shall remain the exclusive property of Oligoclase and its licensors. All right, title, and interest in and to the Service are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The oligoclase.info name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Oligoclase or its affiliates. You may not use such marks without our prior written permission. All other names, logos, and marks appearing on the Service are the property of their respective owners.

If you submit suggestions, feedback, ideas, or recommendations regarding the Service ("Feedback"), you hereby assign to Oligoclase all right, title, and interest in such Feedback, and we may use and exploit such Feedback without restriction and without compensation or attribution to you.

We respect the intellectual property rights of others. If you believe that any content available through the Service infringes your copyright, you may submit a notification pursuant to the Digital Millennium Copyright Act (DMCA) by providing our designated agent with the information required under 17 U.S.C. § 512, including identification of the copyrighted work, identification of the allegedly infringing material, your contact information, and a statement made under penalty of perjury. Notices should be directed to [email protected].

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Oligoclase, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF Oligoclase ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS PAID BY YOU TO Oligoclase FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

The foregoing limitations shall not apply to liability arising from gross negligence, willful misconduct, fraud, or any other liability that cannot be limited or excluded under applicable law. Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, our liability shall be limited to the fullest extent permitted by law, and nothing in these Terms shall be construed to waive rights that cannot be waived.

You acknowledge that the limitations and exclusions set forth in this Section reflect a reasonable and bargained-for allocation of risk between the parties and form an essential basis of the bargain between us. The Service would not be provided to you absent such limitations.

6. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, Oligoclase EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that defects will be corrected. We do not warrant that any information obtained through the Service is accurate, reliable, or complete. Your use of the Service is at your sole risk, and you are solely responsible for any damage to your systems or loss of data resulting from such use.

The Service may contain links to third-party websites, integrations, or services that are not owned or controlled by Oligoclase. We assume no responsibility for the content, privacy practices, or terms of any third-party services, and your use of such services is at your own risk and subject to their respective terms.

Nothing in the Service constitutes legal, financial, accounting, tax, or other professional advice. You should consult qualified professionals regarding your specific circumstances before relying on any output generated by the Service.

7. Indemnification

You agree to defend, indemnify, and hold harmless Oligoclase and its affiliates, officers, directors, employees, contractors, agents, licensors, and suppliers from and against any and all claims, actions, suits, demands, liabilities, damages, losses, judgments, settlements, and expenses (including reasonable attorneys' fees and costs) arising out of or relating to: (a) your access to or use of the Service; (b) your breach or alleged breach of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any third-party right, including intellectual property or privacy rights; or (e) any data or content you submit, upload, or process through the Service.

We reserve the right, at our sole expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate fully with us in asserting any available defenses. You shall not settle any such matter without our prior written consent.

Your indemnification obligations shall survive the termination or expiration of these Terms and your cessation of use of the Service.

8. Governing Law

These Terms and any dispute, claim, or controversy arising out of or relating to them or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of laws principles, and, to the extent applicable, the federal laws of the United States.

The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms. If any provision of these Terms is held invalid or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to render it valid and enforceable, and the remaining provisions shall remain in full force and effect.

The parties acknowledge that the Service is operated from the United States and that applicable US state law governs the enforceability of the provisions herein, including those addressing liability, arbitration, and disclaimer of warranties.

9. Dispute Resolution

9.1 Informal Resolution

Before initiating any formal proceeding, you agree to contact us at [email protected] and attempt in good faith to resolve any dispute informally for a period of at least thirty (30) days from the date of written notice. Neither party shall commence arbitration until this informal resolution period has expired, unless immediate relief is required to prevent irreparable harm.

9.2 Binding Arbitration

Except as otherwise provided herein, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, before a single arbitrator, in accordance with the Federal Arbitration Act (9 U.S.C. §§ 1 et seq.). The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

9.3 Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND Oligoclase EACH WAIVE THE RIGHT TO PARTICIPATE IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION, AND YOU AGREE THAT DISPUTES SHALL BE ARBITRATED ON AN INDIVIDUAL BASIS ONLY. You may opt out of this arbitration provision by sending written notice to [email protected] within thirty (30) days of first accepting these Terms.

9.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights, and either party may bring an individual action in small claims court if the claim qualifies.

10. Termination

These Terms shall remain in effect until terminated by you or by Oligoclase. You may terminate your account at any time by cancelling your subscription through your account settings or by contacting us at [email protected]. Termination is effective at the end of the then-current billing period, and no refunds shall be provided for partially used billing periods except as required by applicable law.

We may suspend, restrict, or terminate your access to the Service, in whole or in part, at any time, with or without notice, if we reasonably determine that you have breached these Terms, violated applicable law, or engaged in conduct that may harm Oligoclase, other users, or third parties. We may also terminate the Service or any portion thereof for any lawful business reason upon reasonable notice.

Upon termination or expiration, your license to use the Service shall immediately cease, and you must discontinue all use of the Service. We may, but are not obligated to, retain or delete your data in accordance with our Privacy Policy. You are advised to export any data you wish to retain prior to termination.

Sections concerning intellectual property, disclaimers, limitation of liability, indemnification, governing law, dispute resolution, and any other provisions that by their nature should survive termination shall survive termination or expiration of these Terms.

11. Changes to Terms

We reserve the right to modify, amend, or replace these Terms at any time at our sole discretion. The most current version will always be posted on this page with an updated "Last Updated" date. Your continued use of the Service after any such modifications take effect constitutes your acceptance of the revised Terms.

For material changes, we will provide reasonable advance notice, which may include email notification to the address associated with your account or a prominent notice within the Service, where required by applicable law. If you do not agree to the revised Terms, you must stop using the Service and cancel your account before the effective date of the changes.

11.1 Severability and Entire Agreement

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Oligoclase concerning the Service and supersede all prior or contemporaneous understandings, communications, and proposals, whether oral or written.

11.2 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.
