Terms of Service
Last Updated: September 2026
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Oligoclase ("Oligoclase," "we," "us," or "our") governing your access to and use of the oligoclase.info software-as-a-service platform, applications, application programming interfaces, documentation, and all related services made available at oligoclase.info and any associated subOligoclases (collectively, the "Service").
PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING, REGISTERING FOR, OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS, INCLUDING THE LIMITATION OF LIABILITY, DISCLAIMER OF WARRANTIES, AND DISPUTE RESOLUTION PROVISIONS CONTAINED HEREIN. IF YOU DO NOT AGREE, YOU MUST IMMEDIATELY DISCONTINUE USE OF THE SERVICE.
If you are entering into these Terms on behalf of a company, partnership, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, in which case "you" shall refer to such entity. Your use of the Service is also governed by our Privacy Policy and Cookie Policy, each of which is incorporated herein by reference.
1. Service Description
Oligoclase provides a cloud-based software platform accessible via web browser and supported mobile or desktop clients. The Service is provided on a subscription and, where applicable, usage-based basis. Features, functionality, storage allocations, integration limits, and service tiers are described on our website and may differ by subscription plan. We reserve the right to determine, in our sole discretion, the technical specifications and configuration of the Service.
The Service is delivered on a hosted, multi-tenant basis and may incorporate third-party components, open-source libraries, and integrations with third-party applications. While we endeavor to maintain high availability, the Service is subject to scheduled maintenance, emergency maintenance, and intermittent downtime. Any service level commitments, uptime targets, or support response times are set forth in a separate written Service Level Agreement or enterprise order form, if applicable, and shall control over any conflicting statement in these Terms.
We do not guarantee that the Service will be uninterrupted, error-free, or compatible with every device, network, or third-party system. You are solely responsible for obtaining and maintaining the hardware, software, internet connectivity, and third-party accounts necessary to access the Service. Any free trial, beta, pilot, or evaluation features are provided "AS IS" and without warranty of any kind, and may be modified or discontinued at any time.
The Service is offered to customers located in the United States. We make no representation that the Service is appropriate or available for use in any other jurisdiction, and access from territories where such access would be illegal is prohibited.
2. User Accounts
To access most features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to promptly update such information to keep it accurate and complete. We reserve the right to refuse registration, or to suspend or terminate any account, at our sole discretion, including where we reasonably suspect that registration information is false, misleading, or fraudulent.
You are solely responsible for maintaining the confidentiality of your login credentials, API keys, access tokens, and any other authentication mechanisms associated with your account. You agree not to share credentials across individuals, to implement reasonable internal access controls, and to notify us immediately at [email protected] of any unauthorized access, suspected compromise, or security incident affecting your account.
You are fully responsible and liable for all activities that occur under your account, whether or not authorized by you, including all content submitted, all configurations made, and all fees incurred by any individual who accesses the Service using your credentials. Administrative users may provision sub-accounts and assign permissions to end users within their organization; the account owner remains liable for all such users' compliance with these Terms.
Accounts are not transferable without our prior written consent, except in connection with a merger, acquisition, or sale of substantially all assets of your organization, provided you notify us in writing. You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, to create an account. Accounts registered by automated means, bots, or scripts are strictly prohibited.
3. Acceptable Use Policy
You agree to use the Service only for lawful business purposes and in strict compliance with all applicable federal, state, and local laws, statutes, regulations, and ordinances, including without limitation laws governing data privacy, electronic communications, export controls, sanctions, anti-spam, intellectual property, and computer fraud and abuse. You are solely responsible for ensuring that your use of the Service, and any data you submit to it, complies with all laws applicable to you and your industry.
You agree to implement and maintain appropriate technical and organizational measures to protect any personal information you process using the Service, and to obtain all necessary consents, notices, and legal bases required under applicable law, including the California Consumer Privacy Act as amended by the California Privacy Rights Act (CCPA/CPRA) and other applicable state privacy laws, before submitting personal information to the Service.
You shall not use the Service in any manner that could damage, disable, overburden, or impair the Service or interfere with any other party's use and enjoyment of the Service. You shall not attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to the Service, whether through password mining, penetration testing without written authorization, or any other means.
We reserve the right, but assume no obligation, to monitor use of the Service for compliance with this Acceptable Use Policy. We may investigate any suspected violation and cooperate with law enforcement authorities in prosecuting users who violate these Terms. Enforcement actions may include content removal, feature restriction, account suspension, or termination, with or without notice.
4. Prohibited Activities
Without limiting the generality of Section 3, you shall not, and shall not permit any third party to:
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying structure, or algorithms of the Service, except to the extent such restriction is prohibited by applicable law;
- Copy, modify, distribute, sell, resell, sublicense, rent, lease, time-share, or otherwise commercially exploit the Service or provide it as a service bureau to third parties without our prior written consent;
- Use the Service to transmit any malware, ransomware, spyware, viruses, worms, or other harmful or destructive code;
- Engage in any activity that infringes or misappropriates the intellectual property, privacy, publicity, or other rights of any third party;
- Upload or transmit content that is unlawful, defamatory, obscene, harassing, hateful, discriminatory, or that depicts the exploitation of minors;
- Send unsolicited bulk email, spam, phishing messages, or other deceptive communications through or in connection with the Service, in violation of the CAN-SPAM Act or applicable state law;
- Scrape, crawl, harvest, or extract data from the Service by automated means, except through documented APIs and within applicable rate limits;
- Circumvent, disable, or interfere with security-related features, authentication controls, access restrictions, or usage limits of the Service;
- Use the Service to build a competing product or service, or to benchmark the Service for publication without our written consent;
- Process or store data that is subject to the Payment Card Industry Data Security Standard, protected health information under HIPAA, or other regulated data categories unless expressly authorized in a separate written agreement;
- Use the Service in violation of U.S. export control laws, economic sanctions administered by the Office of Foreign Assets Control, or any applicable anti-bribery or anti-corruption law, including the Foreign Corrupt Practices Act;
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
Violation of this Section may result in immediate suspension or termination of your account and may expose you to civil and criminal liability. You agree to indemnify and hold Oligoclase harmless from any claims, damages, or expenses arising from your violation of this Section.
5. Content Ownership
All right, title, and interest in and to the Service, including all software, source code, object code, architecture, interfaces, designs, text, graphics, logos, trademarks, service marks, trade dress, and documentation, together with all intellectual property rights therein, are and shall remain the exclusive property of Oligoclase and its licensors. Nothing in these Terms grants you any ownership interest in the Service. All rights not expressly granted are reserved.
Subject to your compliance with these Terms and payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service during the applicable subscription term, solely for your internal business purposes. This license does not include any right to distribute, publicly perform, or create derivative works of the Service.
As between you and Oligoclase, you retain all right, title, and interest in and to all data, records, files, text, and other materials that you upload, submit, or store in the Service ("Customer Data"), including any data belonging to your own end users. You hereby grant Oligoclase a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, and create derivative works of Customer Data solely as necessary to provide, maintain, secure, and improve the Service, and to comply with applicable law.
We may collect and use aggregated, de-identified, or anonymized data derived from your use of the Service, provided such data does not identify you, your end users, or any individual, in order to operate, analyze, benchmark, and improve the Service. Any feedback, suggestions, enhancement requests, or recommendations you provide regarding the Service may be used by us without restriction or compensation to you.
If you believe that content available on the Service infringes your copyright, you may submit a notification pursuant to the Digital Millennium Copyright Act (17 U.S.C. § 512) to our designated agent at [email protected]. Notifications must include the elements required by statute. We will respond to valid notices and may remove or disable access to allegedly infringing material and terminate the accounts of repeat infringers.
6. User-Generated Content
The Service may permit you and your authorized users to post, upload, publish, transmit, or otherwise make available content, including configuration data, comments, annotations, files, templates, and integrations ("User-Generated Content"). You are solely responsible for all User-Generated Content created, submitted, or transmitted through your account, and you represent and warrant that you own or have all necessary rights, licenses, consents, and permissions to submit such content.
You represent and warrant that your User-Generated Content does not and will not: (a) infringe, misappropriate, or violate any intellectual property, privacy, publicity, or contractual right of any third party; (b) contain any defamatory, fraudulent, obscene, or unlawful material; (c) contain any viruses, malware, or harmful code; or (d) violate any applicable law or regulation. You are solely responsible for any consequences arising from your User-Generated Content.
You grant Oligoclase a non-exclusive, worldwide, royalty-free license to host, store, cache, reproduce, transmit, display, and distribute User-Generated Content solely to the extent necessary to operate and provide the Service, and to comply with legal obligations. This license terminates with respect to stored content upon deletion, except to the extent retention is required by law or for backup, archival, or dispute-resolution purposes.
We do not endorse, verify, or assume responsibility for any User-Generated Content and disclaim all liability arising therefrom. We reserve the right, but not the obligation, to review, screen, refuse, or remove any User-Generated Content that we believe violates these Terms or applicable law, in our sole discretion and without notice. You are solely responsible for maintaining independent backups of your User-Generated Content; we are not liable for any loss, corruption, or deletion of such content.
7. Payment Terms
Fees for the Service are set forth on our website, in an applicable order form, or in a written quotation. All fees are stated and payable in U.S. Dollars and are exclusive of applicable federal, state, and local taxes, duties, and assessments, which you are responsible for paying (excluding taxes based on our net income). Subscription fees are payable in advance on an annual or monthly basis as selected at checkout.
Unless otherwise stated in an order form, subscriptions renew automatically for successive terms of the same duration unless either party provides written notice of non-renewal at least thirty (30) days prior to the end of the then-current term. We will provide advance notice of any price increase applicable to a renewal term, and continued use after the renewal date constitutes acceptance of the increased fees.
Except as expressly required by applicable law or as expressly stated in these Terms, all fees are non-refundable and non-creditable, including for partial subscription periods, unused features, or accounts terminated for cause. Late or unpaid amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law, and you shall reimburse us for all reasonable costs of collection, including attorney's fees.
You authorize us and our payment processors to charge your designated payment method for all fees and applicable taxes. If a charge is declined or reversed, we may suspend or terminate access to the Service. You may cancel your subscription at any time through the account dashboard or by contacting [email protected]; cancellation takes effect at the end of the then-current billing period and does not entitle you to a refund of prepaid fees.
8. Service Modifications
We are continually developing and improving the Service. We reserve the right, in our sole discretion, to modify, update, enhance, replace, or discontinue any feature, function, integration, or component of the Service at any time, with or without notice. We may also impose or adjust usage limits, storage allocations, or rate limits to protect the integrity, security, and performance of the Service.
We may perform scheduled maintenance during announced maintenance windows and emergency maintenance at any time. We will use commercially reasonable efforts to provide advance notice of scheduled maintenance that may materially affect availability. Downtime attributable to maintenance, force majeure events, third-party service failures, or your acts or omissions does not constitute a breach of these Terms.
If we make a material adverse change to the core functionality of a paid Service tier, we will provide reasonable advance notice. If you are a subscriber and such a change materially diminishes the value of the Service to you, your sole and exclusive remedy is to terminate your subscription and receive a pro rata refund of any prepaid, unused fees for the remainder of the then-current term, provided you notify us within thirty (30) days of the change.
We may also modify these Terms from time to time. Material changes will be communicated by email to the address associated with your account or by prominent notice within the Service at least thirty (30) days before taking effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service before the effective date.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," AND Oligoclase EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, BE ERROR-FREE, OR THAT ALL DEFECTS WILL BE CORRECTED.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Oligoclase, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF Oligoclase ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY YOU TO Oligoclase FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU HAVE NOT PAID ANY FEES, OUR AGGREGATE LIABILITY SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100.00).
THE FOREGOING LIMITATIONS AND EXCLUSIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND SHALL SURVIVE ANY TERMINATION OR EXPIRATION OF THESE TERMS. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages; in such jurisdictions, our liability shall be limited to the greatest extent permitted by law. Nothing in these Terms limits liability for fraud, willful misconduct, or any other liability that cannot be limited or excluded under applicable law.
10. Termination
These Terms remain in effect until terminated. You may terminate your account at any time by following the cancellation procedures in your account settings or by contacting [email protected]. Termination is effective at the end of your then-current billing period, and you remain responsible for all fees accrued through the effective date of termination.
We may suspend or terminate your access to the Service, in whole or in part, immediately and without notice or liability, if: (a) you breach any provision of these Terms, including the Acceptable Use Policy or Prohibited Activities sections; (b) your account is used in a manner that creates a security risk, legal exposure, or operational burden for us or other users; (c) you fail to pay applicable fees when due; (d) we are required to do so by law or court order; or (e) we discontinue the Service generally.
Upon termination or expiration, your license to use the Service terminates immediately. We will make Customer Data available for export for a period of thirty (30) days following termination, after which we may delete or anonymize such data in accordance with our Privacy Policy and applicable law. You are responsible for exporting any Customer Data you wish to retain prior to deletion. We are not liable for any loss of data resulting from termination.
Sections concerning Content Ownership, User-Generated Content, Payment Terms, Limitation of Liability, Indemnification, Governing Law and Dispute Resolution, and any other provisions that by their nature should survive termination shall survive any termination or expiration of these Terms. Termination does not relieve you of any obligation to pay amounts owed prior to termination.
11. Indemnification
You agree to defend, indemnify, and hold harmless Oligoclase and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, actions, suits, proceedings, losses, liabilities, damages, judgments, settlements, costs, and expenses (including reasonable attorney's fees) arising out of or relating to: (a) your use of the Service; (b) your breach of these Terms; (c) your Customer Data or User-Generated Content; (d) your violation of any law or third-party right; or (e) any dispute between you and your own end users or customers.
We shall promptly notify you of any claim subject to indemnification, provided that our failure to do so shall not relieve you of your obligations except to the extent you are materially prejudiced thereby. We reserve the right to assume exclusive control of the defense of any matter subject to indemnification, at your expense, and you agree to cooperate fully with such defense. You shall not settle any claim in a manner that imposes liability or admission on us without our prior written consent.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Oligoclase is organized, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Subject to the arbitration provision below, the state and federal courts located in that jurisdiction shall have exclusive jurisdiction and venue over any dispute not subject to arbitration, and you irrevocably consent to such jurisdiction and waive any objection based on venue or forum non conveniens.
Except for claims for injunctive or equitable relief, or claims relating to intellectual property or unauthorized access, any dispute arising out of or relating to these Terms shall be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, in the state in which Oligoclase is organized. The arbitrator's award shall be final and enforceable in any court of competent jurisdiction. You and Oligoclase each waive the right to a trial by jury and the right to participate in a class, collective, or representative action.
Nothing in this Section prevents either party from seeking relief in small claims court for qualifying disputes, or from filing a complaint with a government agency. You may opt out of arbitration by sending written notice to 790 North Water Street, Suite 1250, Milwaukee, WI 53202 within thirty (30) days of first accepting these Terms. If any provision of this Section is found unenforceable, the remainder shall remain in effect, except that if the class action waiver is unenforceable, this entire arbitration provision shall be void.
13. General Provisions
These Terms, together with the Privacy Policy, Cookie Policy, and any applicable order form or Service Level Agreement, constitute the entire agreement between you and Oligoclase regarding the Service and supersede all prior or contemporaneous agreements, communications, and proposals. No waiver of any provision shall be deemed a further or continuing waiver, and our failure to enforce any right shall not constitute a waiver. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
You may not assign or transfer these Terms, in whole or in part, without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between the parties. All notices to Oligoclase must be sent to [email protected] or 790 North Water Street, Suite 1250, Milwaukee, WI 53202. Notices to you may be sent to the email address associated with your account and are deemed received upon transmission.
